1. INTRODUCTION 

These Terms and Conditions ("Terms") govern the sale of goods and the provision of services  by The Chelsea Life Jacket, a company registered in England and Wales, whose registered  address is PO BOX 746, Farnham, GU9 1QR, United Kingdom ("we," "us," or "our"). 

By purchasing goods or engaging services from our website, through our online platforms  (including Shopify and PayPal), or directly in person, you ("Customer," "you," or "your") agree  to be bound by these Terms. Please read them carefully before proceeding with your order. 

2. DEFINITIONS 

Bespoke Items” – refers to customised  products specifically tailored or personalised  at the request of the Customer. 

Contract” – refers to any binding  agreement formed between us and the  Customer for the sale of Goods or provision  of Services, as set out in these Terms. 

Customer”, “You”, “Your” – refers to any  individual or entity purchasing Goods or  Services from us. 

Delivery” – refers to the transfer or  dispatch of Goods to the Customer via our  chosen fulfilment methods. 

Goods” – refers to all products sold by us,  including clothing, coffee, bespoke or  custom-made items, and related accessories  available via our website or directly in  person. 

Order” – means any request or instruction  placed by a Customer to purchase Goods or  Services from us. 

Services” – refers to the events and any  other related services provided or organised  by us from time to time.

Website” – refers to our website,  accessible via

3. FORMATION OF CONTRACT 3.1 Order Placement 

We”, “Us”, “Our” – refers to The Chelsea  Life Jacket, registered in England and  Wales, with its registered address at PO  BOX 746, Farnham, GU9 1QR, United  Kingdom. 

An Order placed by you constitutes an offer to purchase Goods or Services from us. Orders can  be placed online via our Website, through payment gateways such as Shopify or PayPal, or in  person. 

3.2 Acceptance 

We will confirm acceptance of your Order through an Order Confirmation email or other formal  acknowledgment. A Contract is formed only once we have expressly confirmed the acceptance  of your Order. 

3.3 Bespoke or Custom Orders 

Orders for Bespoke Items require specific details and will be considered binding only after your  explicit approval of the final specifications and our confirmation of acceptance. 

3.4 Right to Refuse 

We reserve the right, at our sole discretion, to refuse any Order for any reason, including, but not  limited to, stock availability, payment issues, or inaccuracies in the Order details provided. 

4. PAYMENT TERMS 

4.1 Methods of Payment 

We accept payment by debit or credit card through our secure online Shopify platform, and via  PayPal. All payments must be made in British Pounds (GBP).

4.2 Payment Timing 

Payment is required in full at the time of placing an Order. Your Order will not be processed or  Goods dispatched until we have received cleared funds. 

4.3 Bespoke or Custom Items 

Payment for Bespoke Items is due upfront, at the time the Order is confirmed by us. Production  of these items will commence only upon receipt of full payment. 

4.4 Payment Security 

Payments processed via Shopify or PayPal are encrypted and secure. We do not store your  payment details directly, ensuring enhanced security and compliance with applicable regulations. 

4.5 Failed Payments 

In the event of a failed or declined payment, we reserve the right to suspend or cancel your  Order. You must promptly rectify any payment issue to proceed with your Order. 

5. DELIVERY AND PERFORMANCE 

5.1 Delivery Methods 

Delivery of Goods will be carried out through a combination of third-party fulfilment providers  and direct fulfilment by us. Current fulfilment providers include, but are not limited to, Choice  Fulfilment and selected product suppliers. 

5.2 Delivery Locations 

We currently offer delivery to addresses within the United Kingdom. Delivery to other  jurisdictions may be available by special arrangement and subject to additional charges and  conditions. 

5.3 Delivery Timeframes 

Estimated delivery times are provided at the point of Order and may vary depending on the  nature of the Goods ordered. Standard items are typically dispatched within 3–5 business days of Order confirmation. Bespoke or Made-To-Order items may require additional production time, which will be communicated to you upon acceptance of your Order.

5.4 Third-Party Fulfilment 

Where Goods are fulfilled directly by third-party providers, we will make reasonable efforts to  ensure timely delivery but shall not be held responsible for delays caused by such providers. 

5.5 Customer Responsibility on Delivery 

You are responsible for ensuring that delivery information provided at the time of Order is  accurate. Risk in the Goods passes to you upon delivery. 

5.6 Failure to Deliver 

If delivery cannot be completed due to incorrect information or failure to accept delivery,  additional delivery attempts may be subject to further charges. 

5.7 Events and Services Performance 

For Services such as events, performance will occur on the date and at the location agreed in  writing with you. We reserve the right to modify the event details due to circumstances beyond  our control, subject to providing reasonable notice. 

6. CANCELLATION, RETURNS, AND REFUNDS 

6.1 Right to Cancel (Consumers) 

If you are a consumer purchasing Goods online or at a distance, you may have a statutory right to  cancel your Order under the Consumer Contracts (Information, Cancellation and Additional  Charges) Regulations 2013. This right allows you to cancel within 14 calendar days from the day  after you receive the Goods, subject to the exclusions in clause 6.3. 

6.2 How to Cancel 

To exercise your right to cancel, you must notify us in writing via email  

at support@thechelsealifejacket.co.uk, clearly stating your intention to cancel and  providing sufficient Order details to identify the transaction. 

6.3 Exclusions to Right to Cancel 

The right to cancel does not apply to: (i) bespoke or Made-To-Order Items that have been 

personalized to your specifications; (ii) goods that are sealed for hygiene purposes, if unsealed  after delivery; (iii) perishable items once delivered. 

6.4 Returns Process 

Returned Goods must be: 

• Unused and in their original condition; 

• Returned within 14 calendar days of notifying us of cancellation; 

• Returned at your own cost and risk unless otherwise agreed. 

6.5 Refunds 

Upon receipt and inspection of returned Goods, we will process refunds within 14 days. Refunds  will be made using the original method of payment. We reserve the right to make deductions for  any loss in value resulting from handling beyond what is necessary to establish the nature,  characteristics, and functioning of the Goods. 

6.6 Faulty or Defective Goods 

If the Goods are faulty, not as described, or otherwise defective, you may be entitled to a refund,  repair, or replacement under the Consumer Rights Act 2015. You must notify us within a  reasonable time upon discovering the fault. 

6.7 Services Cancellation (Events) 

Where you have booked Services, such as events, cancellation terms will be agreed on a case-by case basis and specified in the relevant booking confirmation. Cancellations by you may be  subject to administrative charges. In the event we must cancel or reschedule Services due to  circumstances beyond our control, you will be offered a full refund or an alternative date. 

7. WARRANTY AND GUARANTEE 

7.1 Standard Warranty 

Unless otherwise stated, all Goods are provided without any express warranty or guarantee  beyond your statutory rights.

7.2 Statutory Rights 

Nothing in these Terms shall affect your statutory rights under the Consumer Rights Act 2015 or  other applicable UK consumer protection legislation. 

7.3 Bespoke Items 

Due to the nature of Bespoke Items, we do not guarantee that personalised products will be free  from minor variations or imperfections resulting from the bespoke production process. You  acknowledge that such variations do not constitute a defect or fault. 

7.4 Future Guarantees 

We reserve the right to introduce specific product guarantees or extended warranties for certain  products or categories of Goods, which will be clearly communicated at the time of sale where  applicable. 

7.5 Limitations 

Any warranty shall not apply where Goods have been misused, altered, damaged by you or a  third party, or used contrary to the instructions provided. 

8. CUSTOMER OBLIGATIONS 

8.1 Accuracy of Information 

You must ensure that all information provided when placing an Order, including personal details,  delivery information, and specifications for Bespoke Items, is accurate, complete, and current. 

8.2 Payment Obligations 

You are required to make full payment at the time of placing an Order, in accordance with  Clause 4. Failure to make timely payment may result in cancellation or delay of your Order. 

8.3 Compliance with Instructions 

You must comply with any care instructions provided with the Goods to ensure their proper use,  care, and longevity. Failure to follow such instructions may void any applicable warranty or  guarantee.

8.4 Event Participation 

Where you attend events organized by us, you must comply with all applicable health and safety  guidelines, rules, and reasonable instructions provided by us or venue staff during the event. 

8.5 Lawful Use 

You shall not use any Goods or Services for any unlawful purpose or in violation of applicable  laws and regulations. 

9. INTELLECTUAL PROPERTY 

9.1 Ownership 

All intellectual property rights in the Goods, Services, Website, designs, logos, branding,  content, and related materials ("Intellectual Property") are and shall remain the exclusive  property of The Chelsea Life Jacket or, where applicable, its licensors. This includes all original  designs, bespoke creations, and customizations provided to you. 

9.2 Permitted Use 

You are granted a limited, non-exclusive, non-transferable license to use the Intellectual Property  solely for personal, non-commercial purposes related to your lawful use of the Goods and  Services purchased from us. 

9.3 Prohibited Use 

You shall not, without our prior written consent: 

• Reproduce, copy, modify, distribute, or commercially exploit any aspect of the Intellectual  Property; 

• Use any of our trade marks, branding, or content for unauthorized commercial purposes; • Permit any third party to engage in any prohibited acts concerning the Intellectual Property. 

9.4 Bespoke Designs 

Where Goods are produced to your specifications or incorporate your personalization requests,  all Intellectual Property rights in such bespoke designs shall remain with The Chelsea Life  Jacket, unless otherwise expressly agreed in writing.

9.5 Third-Party Rights 

You warrant that any materials or specifications you provide for Bespoke Items do not infringe  the intellectual property rights of any third party. You shall indemnify us for any claims arising  from such infringement 

10. PRIVACY AND DATA PROTECTION 

10.1 Compliance with Law 

We are committed to protecting your personal data and complying with the UK General Data  Protection Regulation (UK GDPR), the Data Protection Act 2018, and all applicable data  protection and privacy legislation. 

10.2 Personal Data Collection 

We will collect, process, and store your personal data solely for the purposes of processing your  Orders, fulfilling our contractual obligations, managing our customer relationship with you, and  where applicable, for marketing purposes where you have provided consent.

We may engage third-party service providers (such as payment processors, fulfilment providers,  or event organizers) to assist in delivering our Goods and Services. We will ensure that any third  party with whom we share personal data is subject to contractual obligations that protect your  data in compliance with applicable law.

Subject to clause 12.3, our total liability to you for any loss or damage arising out of or in  connection with any Contract shall be limited to the total amount paid by you for the Goods or  Services under that Contract. 

12.2 Exclusions of Liability 

We shall not be liable for: 

• Any indirect, incidental, special, or consequential loss or damage; 

• Loss of profits, revenue, or business opportunities; 

• Any delays or failures in performance caused by events beyond our reasonable control,  including but not limited to force majeure events, supplier delays, or third-party fulfilment  failures. 

12.3 Consumer Rights Unaffected 

Nothing in these Terms shall limit or exclude our liability for: 

• Death or personal injury caused by our negligence; 

• Fraud or fraudulent misrepresentation; 

• Any matter for which it would be unlawful to exclude or limit liability; • Your statutory rights as a consumer under applicable law.

We will treat any personal data provided by you in accordance with Clause 10 (Privacy and Data  Protection) and applicable data protection legislation. 

13.3 Exceptions 

The obligations of confidentiality shall not apply to information that: 

• Was lawfully in the public domain at the time of disclosure; 

• Becomes publicly available other than through a breach of these Terms; 

• Is lawfully received from a third party without breach of any obligation of confidentiality; • Is required to be disclosed by law, regulation, or valid order of a court or regulatory authority. 

13.4 Duration 

The confidentiality obligations under this clause shall continue indefinitely, surviving  termination of the Contract. 

14. GOVERNING LAW AND JURISDICTION 

14.1 Governing Law 

These Terms, and any Contract between you and us, shall be governed by and construed in  accordance with the laws of England and Wales. 

14.2 Jurisdiction 

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim  (including non-contractual disputes or claims) arising out of or in connection with these Terms or  their subject matter 

15. AMENDMENTS AND UPDATES

15.1 Right to Amend 

We reserve the right to amend or update these Terms from time to time to reflect changes in law,  regulatory requirements, business practices, or improvements to our services. 

15.2 Notification of Changes 

Where material changes are made, we will provide reasonable notice by posting the updated  Terms on our Website and, where appropriate, notifying you via email or during the ordering  process. 

15.3 Continued Use 

Your continued use of our Website, Goods, or Services after any amendments have been made  constitutes your acceptance of the updated Terms. If you do not agree to the amended Terms,  you must cease using our services and may terminate any outstanding Orders subject to  applicable cancellation rights. 

16. MISCELLANEOUS  

16.1. Force Majeure 

We shall not be liable for any failure or delay in performing any of our obligations under these  Terms where such failure or delay arises from events beyond our reasonable control, including  but not limited to natural disasters, pandemics, war, terrorism, strikes, labour disputes, supply  chain disruptions, or acts of government. 

16.2 Entire Agreement 

These Terms constitute the entire agreement between you and us in relation to your purchase of  Goods and/or Services, and supersede any prior agreements, understandings, or representations,  whether oral or written. You acknowledge that you have not relied on any representations not  expressly set out in these Terms. 

16.3 Severability 

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining  provisions shall continue in full force and effect.

16.4 Assignment 

We may assign or transfer our rights and obligations under these Terms to another entity. You  may not assign or transfer your rights without our prior written consent.
